What a buyer plans for in Poland

• In a transfer of a workplace or part of it, the new employer becomes party to existing employment relationships by law, and the transfer is no ground for notice of termination. Labour Code (Kodeks pracy), article 23(1) sections 1 and 6
• Old and new employer inform their company unions in writing at least 30 days before the planned transfer, and negotiate for up to 30 days on planned changes to employment terms. Trade Unions Act (ustawa o związkach zawodowych), article 26(1)
• Where no company union operates, both employers inform employees in writing at least 30 days before the transfer. Employees may resign on seven days' notice within two months of it. Labour Code (Kodeks pracy), article 23(1) sections 3 and 4
• Above EUR 1 billion combined worldwide or EUR 50 million Polish turnover, an acquisition of control waits for UOKiK clearance, unless the target's Polish turnover stayed within EUR 10 million in both prior years. Competition and Consumer Protection Act, articles 13, 14 and 97
• Where the deal needs EU merger clearance, the buyer may not implement it before clearance. EU Merger Regulation (Council Regulation (EC) No 139/2004), article 7
